Terms and Conditions

Welcome to the National Recreation and Park Association (“NRPA”) website (the “Site”). These Terms and Conditions (“Terms”) govern your access to and use of the Site, whether as a guest or registered user, including all content, features, resources, and services offered by NRPA. Please read these Terms and Conditions carefully before you start to use the Site. By accessing or using the Site, you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree, please do not use the Site.

We may revise and update these Terms and Conditions from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Site thereafter. Your continued use of the Site following the posting of the revised Terms and Conditions means that you accept and agree to the changes.

1. Purpose of the Site
The NRPA Site provides information, resources, and opportunities to support our mission of advancing parks, recreation, and environmental conservation efforts that enhance quality of life for all people.

2. Eligibility
You must be at least 13 years old to use this Site. By using the Site, you represent and warrant that you meet this requirement. If you do not meet this requirement, you must not access or use the Site.

3. Prohibited Use of the Site
You may use the Site only for lawful purposes and in accordance with these Terms and Conditions. You may not use the Site:

• In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
• To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
• To impersonate or attempt to impersonate NRPA, a NRPA employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
• To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site, may harm NRPA or users of the Site, or expose either to liability.
• Use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party’s use of the Site, including their ability to engage in real time activities through the Site.
• Use any manual process to monitor or copy any of the material on the Site, or for any other purpose not expressly authorized in these Terms and Conditions, without NRPA’s prior written consent.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site or otherwise attempt to interfere with the proper working of the Site.

4. Intellectual Property

All content on the Site—including text, graphics, logos, images, videos, and software—is owned or licensed by NRPA and protected by U.S. and international copyright, trademark, and other intellectual property laws. You may use the Site’s content for personal, noncommercial purposes only, provided you keep all copyright and other proprietary notices intact.

You may not copy, modify, distribute, display, or create derivative works from the Site’s content without prior written permission from NRPA.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Site in breach of the Terms and Conditions, your right to use the Site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

No right, title, or interest in or to the Site or any content on the Site is transferred to you, and all rights not expressly granted are reserved by NRPA. Any use of the Site not expressly permitted by these Terms and Conditions is a breach of these Terms and Conditions and may violate copyright, trademark, and other laws.

NRPA’s name and logo, and all other logos, product and service names, designs, and slogans on the Site are trademarks of NRPA or its affiliates or licensors. You must not use such marks without the prior written permission of NRPA. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

5. User Content
If you submit comments, posts, materials, or any other content to the Site (“User Content”), any User Content you post to the site will be considered non-confidential and non-proprietary. By providing any User Content on the Site, you grant NRPA a non-exclusive, royalty-free, perpetual, and worldwide license to use, reproduce, modify, adapt, publish, display, distribute, and otherwise disclose to third-parties any such material your User Content in any media for any purpose related to our mission.

Your User Content must comply with these Terms and Conditions. You are solely responsible for your User Content and must ensure it does not violate any law or infringe upon the rights of others.

6. Monitoring and Enforcement
NRPA has the right to:

• Remove or refuse to post any User Content for any or no reason in our sole discretion.
• Take any action with respect to any User Content that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms and Conditions, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Site or the public, or could create liability for NRPA.
• Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
• Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Site.
• Terminate or suspend your access to all or part of the Site for any or no reason, including without limitation, any violation of these Terms and Conditions.

Without limiting the foregoing, NRPA has the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Site. YOU WAIVE AND HOLD NRPA HARMLESS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY NRPA DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER NRPA OR LAW ENFORCEMENT AUTHORITIES.

However, NRPA cannot review all material before it is posted on the Site and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

7. Content Standards
These content standards apply to any and all User Content and use of Site. User Content must not violate any applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Content must not:

• Contain or promote any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
• Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
• Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms and Conditions and our Privacy Policy [LINK TO PRIVACY POLICY].
• Be likely to deceive any person.
• Promote any illegal activity, or advocate, promote, or assist any unlawful act.
• Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
• Impersonate any person or misrepresent your identity or affiliation with any person or organization.
• Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
• Give the impression that they emanate from or are endorsed by NRPA or any other person or entity, if this is not the case.

The Site may contain links to third-party websites. NRPA is not responsible for the content, privacy policies, or practices of any third-party site. Accessing these links is at your own risk.

9. Disclaimers
The Site and its content are provided “as is” without warranties of any kind, express or implied. NRPA does not guarantee that the Site will be error-free, secure, or continuously available, or that the information will be accurate, complete, or up to date.

To the fullest extent provided by law, NRPA will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses, or other technologically harmful material that may infect your computer equipment, computer programs, data, or other proprietary material due to your use of the Site or any services or items obtained through the Site or your downloading of any material posted on it, or on any website linked to it.

NRPA disclaims all warranties of any kind, whether express or implied, statutory or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and noninfringement.

10. Limitation of Liability
To the fullest extent permitted by law, NRPA, its officers, directors, employees, agents, and affiliates will not be liable for any damages arising out of or related to your use of or inability to use the Site, any websites linked to it, any content on the website or such other websites, including but not limited to direct, indirect, incidental, consequential, or punitive damages , including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.

11. Indemnification
You agree to defend, indemnify, and hold harmless NRPA and its affiliates from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your violation of these Terms and Conditions or your use of the Site, or your use of any information obtained from the Site.

12. Governing Law
All matters relating to the Site and these Terms and Conditions are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any legal suit, action, or proceeding relating to the Site and these Terms and Conditions must be instituted in the federal or state courts situated in the Commonwealth of Virginia. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
